CORPORATE AND BUSINESS TRANSACTIONS:

The firm specializes in addressing the legal needs of small and mid-size closely held corporations and limited liability companies. Our firm acts as corporate counsel to numerous clients providing ongoing strategic support of the clients' periodic legal needs. The firm assists clients with solving strategic business challenges, including choice of entity; tax planning and structure; shareholder agreements, re-organizations, contracts, asset and stock transfers, human resource advising; and succession planning for a business's long terms growth.

 

TAX, ESTATE PLANNING, WEALTH PRESERVATION:

The firm's members are specialists in assisting business owners and persons with sizable estates and real estate holdings, in their tax and estate planning needs. The firm provides clients with tax and wealth preservation strategies that can include Trusts and Wills, 1031 real estate exchanges, Family Limited Partnerships, Estate Plans and Estate Tax return preparation, Trust Administration, and advising Trustees regarding the proper disposition of Estate assets.

 

CONSTRUCTION LAW AND REAL ESTATE LAW:

The firm represents many companies in the construction industry sector, including public works prime contractors and subcontractors, home builders and developers, architects and engineers. The firm provides clients with collection advice, and pursuit of lien and bond litigation; dispute resolution and litigation services for the pursuit or defense of differing site condition claims and delay claims; insurance negotiations; contract drafting and bid protests; and heavy equipment disputes (crane accidents, rental contracts and liability claims). In the Real Estate field, the firm assists clients in transactions and contracts, land use planning and boundary law, construction defect and real estate litigation.

BUSINESS LITIGATION AND HUMAN RESOURCE LAW:

The firm assists its clients in the avoidance of litigation by crafting "bottom line" strategies to resolve disputes early and with a minimum of expense. Where a dispute enters into court or arbitration, the firm provides litigation services up to and including trial, the selection of key experts where needed, and development of a "game plan" for resolution of the dispute efficiently, reasonably, and as soon as practicable. In the Human Resource field, the firm provides advice to business clients regarding employment law issues, including preparation of employment manuals, providing up to date analysis of legal requirements for employers, anti-harassment training and investigations, and litigation defense of employee claims.
